Terms of Service for Offcoin

Welcome to Offcoin. By accessing our website and using our software-as-a-service (the “Service”), you agree to be bound by the following terms and conditions. These terms apply to all visitors, users, and others who access the Service, whether as an individual (B2C) or on behalf of a business entity (B2B).

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Use of Service

Offcoin grants you a limited, non-exclusive, non-transferable, and revocable license to use our platform.

  • Prohibited Use: You may not use Offcoin for any illegal activities, nor may you attempt to reverse engineer the software, bypass security features, or use the Service in a way that harms our infrastructure.
  • Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3. Payments and Subscriptions

Our order process is conducted by our online reseller Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all our orders.

  • Billing: You agree to pay all fees associated with your chosen plan. Subscriptions are billed in advance on a recurring basis (monthly or annually).
  • Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or via Lemon Squeezy support.
  • Taxes: All fees are exclusive of taxes, which will be calculated and collected by Lemon Squeezy where applicable.

4. Refund Policy (All Sales are Final)

Due to the nature of digital products and the immediate access provided to the Service, Offcoin operates a strict no-refund policy.

  • No Refunds: All sales are final. We do not provide refunds or credits for any partial subscription periods or unused accounts.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

5. B2B Provisions & Liability

For our business customers (B2B):

  • Service Levels: While we strive for 99.9% uptime, the Service is provided “as-is” and “as-available” without warranties of any kind.
  • Limitation of Liability: To the maximum extent permitted by law, Offcoin shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits). Our total liability for any claim shall not exceed the amount you paid to us in the six months preceding the claim.

6. Intellectual Property

All rights, title, and interest in and to the Service (excluding content provided by users) are and will remain the exclusive property of Offcoin and its licensors.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ecuador. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ecuador.

8. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes by posting the new terms on this page. Your continued use of the Service after changes are made constitutes acceptance of the new terms.
